Highlights

In recent years, many listing applicants and listed issuers adopted multiple equity incentive schemes, which serve as important “carrots” to retain talent. In October 2021, the Stock Exchange launched a consultation on Proposed Amendments to Listing Rules relating to Share Schemes of Listed Issuers. The long-awaited consultation conclusion was published on 29 July 2022, adopting the proposal to extend the Listing Rules to govern all share schemes involving grants of share awards and share options. In addition, there will be enhanced regulation to manage dilution of listed shares and provide informative disclosure to maintain high levels of shareholder protection. The amended Listing Rules will take effect on 1 January 2023.
