Highlights

Timely financial reporting is crucial to listed companies. Failing to publish audited annual results announcement by the regulatory deadline can lead to severe consequences. As a starting point, trading in the shares of the listed company would be suspended. While the journey to achieve resumption of trading is already full of challenges, many listed companies may not be fully prepared to find the direction to make through this long and winding journey.

This seminar seeks to explore a practical approach for listed companies to achieve resumption of trading following a delay in publishing audited annual results announcement due to financial reporting or auditing issues.

Paul LAM

Senior Associate, ONC Lawyers

Mr. Paul Lam specialises in IPOs and has participated in a number of IPOs on the Main Board and GEM, advising the listing applicants and sponsors. Paul is also experienced in handling resumption of trading of listed companies and mergers and acquisitions, and he has provided legal services to a number of listed companies on commercial transactions and compliance issues. Paul is also an experienced qualified accountant (FCPA & FCA). Prior to becoming a lawyer, Paul worked as an auditor in one of the “Big Four” accounting firms and as a lecturer for accountancy professional exams of HKICPA and ACCA focusing on financial reporting, auditing and corporate governance for over 12 years. Paul was the author of some study materials on financial reporting and auditing, and was a regular speaker for seminars organised by the HKICPA.

Ivan Yau

AUDIT PARTNER, Cheng & Cheng Limited

Ivan first started his career in a Big 4 firm after graduating from The Hong Kong Polytechnic University. His last position was an Audit Partner in that Big 4 firm and after that, he changed his career path by focusing on capital market transactions by joining a financial advisory firm. He joined Cheng & Cheng Limited in 2021. Ivan has gained over 17 years’ solid experience in managing a wide range of auditing, financial reporting, internal control and capital market transactions. Possess with strong sense of financial management, audit & assurance knowledge and experience. Clientele include a number of sizable entities from healthcare, technology, pharmaceutical, tourism, manufacturing and property development sectors. He successfully completed a number of IPO and pre-IPO projects involved companies from fintech, technology, property development, construction and biotech sectors.

Henry Kwong

TAX PARTNER, CHENG & CHENG TAXATION SERVICES

Henry started his first career in Big 4 Corporate Tax Department for a number of years and later joined Cheng & Cheng Taxation Services Limited. Henry and his 20 tax team members are equipped with knowledge in Hong Kong, PRC and international Taxation, transfer pricing in providing comprehensive tax planning solutions to clients.

Henry is a regular speaker at various professional associations including The Hong Kong Institute of Certified Public Accountants (HKICPA), the Taxation Institute of Hong Kong and the Hong Kong Institute of Chartered Secretaries.
